This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by the Advertiser ("Effective Date") by and between Not One More Vet, Inc , a nonprofit organization located at 1120 Bird Ave F #233, San Jose, CA 95125, USA ("Advertiser"), and any advertising platform or service provider ("Platform").

The purpose of this Agreement is to outline the terms and conditions under which advertisements for the Advertiser will be displayed on the Platform. This Agreement complies with the requirements of Microsoft Ads and other applicable advertising regulations.

2. Scope of Advertising

The Advertiser agrees to create and submit advertisements ("Ads") to the Platform for the purpose of promoting its mission, services, and fundraising efforts. The Ads may include text, images, videos, or other content formats as permitted by the Platform's policies.

3. Ad Content Requirements

The Advertiser agrees to comply with all applicable laws, regulations, and the Platform’s advertising policies, including but not limited to:

• Accuracy: All Ads must accurately represent the Advertiser’s mission, services, and offerings.
• Prohibited Content: Ads must not contain prohibited content such as hate speech, violence, adult content, or misleading information.
• Intellectual Property: The Advertiser warrants that it owns or has the necessary rights to use all content included in the Ads.
• Nonprofit Compliance: As a nonprofit organization, the Advertiser confirms that its activities align with its stated mission and comply with IRS regulations for organizations with EIN 82-0651952.

4. Payment Terms

• The Advertiser agrees to pay all costs associated with running Ads on the Platform, including but not limited to click fees, impression fees, and any additional charges.
• Payments will be processed through the Platform’s billing system, and the Advertiser authorizes the Platform to charge the payment method provided.
• The Advertiser acknowledges that failure to pay may result in the suspension or termination of its Ads.

5. Ad Performance and Reporting

• The Platform will provide performance metrics and reports regarding the Ads, including impressions, clicks, and conversions.
• The Advertiser acknowledges that ad performance is subject to various factors, including audience targeting, competition, and ad quality, and the Platform does not guarantee specific results.

6. Compliance with Microsoft Ads Policies

The Advertiser agrees to adhere to Microsoft Ads’ policies, including but not limited to:

• Prohibiting the promotion of illegal or harmful products or services.
• Ensuring Ads do not mislead users or violate user privacy.
• Complying with all applicable laws and industry standards.

Failure to comply with these policies may result in the rejection or removal of Ads.

7. Indemnification

The Advertiser agrees to indemnify, defend, and hold harmless the Platform, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to:

• The Advertiser’s breach of this Agreement.
• The content of the Ads or the Advertiser’s website.
• Any violation of applicable laws or regulations.

8. Termination

• Either party may terminate this Agreement at any time by providing written notice to the other party.
• Upon termination, the Advertiser’s Ads will be removed from the Platform, and any outstanding payments will become due immediately.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

11. Acceptance

By submitting Ads to the Platform, the Advertiser acknowledges that it has read, understood, and agrees to be bound by the terms and conditions of this Agreement.
